7.Filing Requirements for Recordal of Trademark License Agreement

1. Power of Attorney (Download), simply signed by the applicant (licensor);

2. Application Form for Recording Trademark License Agreement, prepared by our firm and duly executed by both the licensor and the licensee;

3. Original or notarized copy of Trademark License Agreement, duly executed by the licensor and the licensee. Foreign notarization needs to be legalized. If the Agreement is in foreign language, a copy of Chinese translation is required.

The Trademark License Agreement may include the following contents:

(1) the names and addresses of the licensor and the licensee;

(2) the scope of license, including type of license; specimen of the licensed trademark, registration number; licensed goods/services; territorial scope of use of licensed goods/services; licensed term (within the valid period of the registration) and etc;

(3) related measures to guarantee quality of the licensed goods/services;

(4) related articles to keep the licensed trademark valid;

(5) conditions of termination or dissolution;

(6) royalties and payment methods;

(7) liability for breach of contract;

(8) applicable law and solution of disputes;

(9) effective date of contract;

(10) date, place, and signatures and/or seals by the licensor and the licensee.

4. A copy of the registration certificate of the licensed trademark (not compulsory).
